SUBCONTRACTOR AGREEMENT

This Subcontractor Agreement (“Agreement”) is made and entered into as of {date-1}, by and between: 

Keefer Building LLC (“Contractor”), with a principal place of business at 3302 Webster Road, Glade Hill VA,

and

{name-1}, representing {text-1} (“Subcontractor”), with a principal place of business at {address-1}

Independent Contractor Relationship

The Subcontractor acknowledges and agrees that they are an independent contractor and not an employee, partner, joint venturer, or agent of Keefer Building LLC. Subcontractor works for themselves and is solely responsible for the manner and means of performing the work.

Scope of Work

The Subcontractor shall provide labor, services, and/or materials as directed by Keefer Building LLC in connection with construction projects undertaken by the Contractor. Specific tasks and responsibilities shall be defined in project work orders or addenda to this Agreement.

Compensation

The Subcontractor shall be paid as agreed upon per project or per task, subject to completion and approval of work by Keefer Building LLC. Subcontractor is responsible for all federal, state, and local taxes, insurance, and any other obligations arising from payments received.

Liability & Insurance

Subcontractor assumes full responsibility and liability for their own work, employees, agents, and equipment.
Subcontractor agrees to indemnify, defend, and hold harmless Keefer Building LLC, its owners, officers, and employees from any claims, damages, liabilities, or expenses arising out of Subcontractor’s work or actions.
Subcontractor shall maintain, at their own expense, all required licenses, permits, and liability insurance, including but not limited to general liability and workers’ compensation (if applicable). Proof of coverage must be provided upon request.

Compliance with Laws

The Subcontractor shall perform all work in accordance with applicable federal, state, and local laws, regulations, and building codes.

Tools & Materials

Subcontractor shall furnish their own tools, equipment, and materials necessary to perform the contracted work unless otherwise agreed in writing.

Term & Termination

This Agreement shall remain in effect until terminated by either party with written notice. Keefer Building LLC may terminate this Agreement immediately for cause, including but not limited to failure to perform work to standard, failure to maintain insurance, or breach of this Agreement.

Entire Agreement

This Agreement contains the entire understanding between the parties and supersedes all prior agreements or understandings, whether written or oral, relating to the subject matter herein. Any modifications must be made in writing and signed by both parties.
